Terms of Service

1. Agreement to Terms

By accessing or using the Ceedpods platform and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users of our Services, including customers, trial users, and visitors to our website.

2. Description of Services

Ceedpods LLC (“Ceedpods,” “we,” “us,” or “our”) provides an Agentic AI-powered Sales CRM platform that includes Core CRM functionality including pipeline management, contact management, and analytics, AI Agents that perform automated tasks such as note-taking, lead scoring, follow-up automation, performance coaching, predictive analytics, and personalization, Integration services with existing CRM systems and business tools, Training and support services for platform implementation and optimization, and Hosting options including SaaS, Azure deployment, on-premise installation, and custom solutions.

3. Account Registration and Security

To use our Services, you must provide accurate, complete, and current information, maintain and update your account information, be at least 18 years of age or have legal capacity to enter into agreements, and represent a legitimate business entity if registering on behalf of an organization. You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, immediately notifying us of any unauthorized use or security breaches, and using strong passwords and enabling available security features. We reserve the right to suspend or terminate accounts that violate these Terms or engage in activities that harm our Services or other users.

4. Acceptable Use Policy

You may use our Services for legitimate business purposes in accordance with these Terms and applicable laws. You may not use our Services to violate any applicable laws or regulations, infringe upon intellectual property rights, transmit malicious code, viruses, or harmful content, engage in spamming or unsolicited communications, attempt to gain unauthorized access to our systems or other users’ data, use our Services for illegal activities, harassment, or discrimination, reverse engineer, decompile, or attempt to extract our source code, or resell or redistribute our Services without explicit written permission. You must ensure that any data processed through our Services complies with applicable privacy laws and regulations, including GDPR, CCPA, and industry-specific requirements.

5. Subscription and Billing

We offer various subscription plans and pricing models including SaaS Subscription with monthly/annual cloud-hosted service, Azure Deployment with annual licensing for Azure infrastructure, On-Premise Deployment with one-time licensing with optional support, and Custom Solutions with tailored pricing based on specific requirements. Subscription fees are billed in advance on a monthly or annual basis. All payments are non-refundable unless specified otherwise. You authorize us to charge your designated payment method. Failure to pay may result in service suspension or termination. Price changes will be communicated at least 30 days in advance. Trial periods are provided at our discretion. Trial data may be deleted upon trial expiration. Converting to paid service may be required to retain trial data.

6. Data and Privacy

You retain ownership of all data you submit to our Services (“Customer Data”). We do not claim ownership of your Customer Data. We process Customer Data solely to provide Services and as described in our Privacy Policy. Our AI agents learn from aggregated, anonymized patterns but do not access or store individual customer data beyond what’s necessary for service provision. We implement industry-standard security measures to protect your data, including encryption at rest and in transit, access controls and authentication, regular security audits and monitoring, and compliance with applicable data protection regulations. Upon request and in accordance with applicable laws, we will provide you with your Customer Data in a commonly used, machine-readable format.

7. Intellectual Property Rights

Ceedpods retains all rights, title, and interest in the Ceedpods platform and underlying technology, AI algorithms and machine learning models, software code, documentation, and related materials, and trademarks, logos, and branding elements. You retain all rights to your Customer Data, business processes, and customizations created within our platform. Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation.

8. AI and Machine Learning

Our AI agents are designed to learn from your data to improve performance, adapt to your business processes and preferences, provide automated assistance and recommendations, and continuously improve through machine learning. You acknowledge that AI recommendations are suggestions, not guaranteed outcomes, human oversight and judgment remain important, AI performance may vary based on data quality and quantity, and we do not guarantee specific results from AI functionality. We may use aggregated, anonymized data across our customer base to improve our AI models, provided such use complies with privacy laws and does not reveal individual customer information.

9. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible. Support is provided according to your subscription plan with SaaS receiving standard support during business hours, Enterprise Plans receiving priority support with faster response times, and On-Premise receiving support according to separate support agreements. We reserve the right to modify, update, or discontinue features with reasonable notice. Material changes affecting core functionality will be communicated at least 30 days in advance.

10. Limitation of Liability

OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

11. Indemnification

You agree to indemnify and hold harmless Ceedpods from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, infringement of third-party rights, or your Customer Data or business practices.

12. Termination

You may terminate your subscription at any time through your account settings or by contacting us. Termination will be effective at the end of your current billing period. We may terminate or suspend your access immediately if you violate these Terms, fail to pay fees when due, or engage in activities that harm our Services or other users. Upon termination, your access to Services will cease, you may download your Customer Data for 30 days, we may delete your data after the retention period, and outstanding fees remain due.

13. Third-Party Services and Integrations

Our Services may integrate with third-party applications and services. Your use of such integrations is subject to their respective terms and privacy policies. Some AI functionality may require third-party AI services (OpenAI, Microsoft Cognitive Services, etc.). Additional fees may apply for these services as disclosed in your subscription. Integration with third-party services does not constitute our endorsement of such services.

14. Compliance and Legal Requirements

You are responsible for ensuring your use of our Services complies with applicable laws and regulations in your jurisdiction. Our Services may be subject to export control laws. You agree to comply with all applicable export and import restrictions. If you operate in regulated industries (healthcare, financial services, etc.), you are responsible for ensuring compliance with industry-specific requirements.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in Wyoming, United States. You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

16. Changes to Terms

We may modify these Terms at any time by posting updated terms on our website. Material changes will be communicated via email or in-product notification at least 30 days before taking effect. Continued use of our Services after changes constitute acceptance of the new Terms.

17. General Provisions

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Ceedpods. If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations freely. Our failure to enforce any provision shall not constitute a waiver of that or any other provision.
